Real Estate Corporate Counsel
A leading national full-service real estate development, management, and investment company seeks a Corporate Counsel with a commercial development and construction specialty to join their team in the Charlottesville, VA office. The attorney will be part of a team that supports all company platforms and personnel with particular focus on the development aspects of Anchor’s Development, Management and Investment service line verticals.
The Corporate Counsel will serve as the first point-of-contact for all legal issues for the company’s Development platform, which currently exceeds more than $1B in developed projects. The Corporate Counsel is expected to understand how key contractual concepts impact (i) obligations of the company and its clients arising in debt, joint venture, and development instruments, (ii) development project timing and deliverables and (iii) stakeholder sensitivities and priorities.
Primary Responsibilities include (but are not limited to):
·Expediently shepherd, in collaboration of development project executives and Anchor’s General Counsel, negotiation and drafting of all legal instruments required by the development process including drafting letters of intent (LOIs), memoranda of understanding, backstop instruments, AIA-derived construction agreements with key service providers, and development agreements with clients.
·Initiate review of all legal aspects of acquisition and development due diligence such as surveys, environmental reports, feasibility studies, zoning, and other regulatory compliance issues geotechnical analyses.
·Work with the business team in structuring complex development transactions from the initial RFP response to the closing of land purchases and construction financing; identify risks and concerns while presenting potential solution-driven alternatives to challenging deal matters and business issues.
·Retain and manage outside and local counsel to ensure that all necessary expertise is available to internal Anchor legal and development professionals.
·Assist and advise the company’s General Counsel in all matters on which he seeks assistance, including matters relating to the company’s robust acquisitions, management, and operations platforms as the need arises.
·Required: JD (or equivalent) degree, active (or imminent) membership in the Virginia State Bar and at least three years of commercial real estate development and/or construction experience.
·Experience in land use, insurance construction lending, development industry and commercial medical real estate is desirable.
